1. Definitions

Webility is a digital agency providing end-to-end digital services to small, medium, and enterprise businesses across multiple markets. We specialize in web design and development, brand identity, AI-powered business automation, and ongoing digital maintenance.

3. Scope of These Terms

These Terms of Service govern:

(a) Your use of the Webility website (webility.local) and any associated subdomains or landing pages; (b) Your submission of inquiries, contact forms, or discovery questionnaires through our website; (c) Your use of any freely available tools, resources, or content on our website; (d) The general relationship between you and Webility prior to entering a formal service agreement.

These Terms do not govern active client engagements, which are governed by the MSA and SOW signed by both Parties. However, these Terms remain applicable to your use of our Website at all times.


4. Our Services

4.1 Services Overview

Webility offers the following categories of digital services:

  • Web Design & Development: Custom website design and development on platforms including Next.js, WordPress, Shopify, Webflow, and others
  • Brand Identity & Design: Logo design, visual identity systems, brand strategy, and brand guidelines
  • AI & Business Automation: AI agent development, workflow automation, process consulting, and system integration using platforms including n8n, Make, and custom solutions
  • Website Maintenance & Support: Ongoing technical maintenance, security monitoring, content updates, and performance management
  • Managed Hosting: Managed web hosting with security, backups, and performance optimization
  • Digital Strategy & Consulting: Strategic consulting on digital presence, technology selection, and automation opportunities

4.2 Services Are Provided Under Contract

Our Services are only provided under a signed Master Service Agreement and Statement of Work. Browsing our website or submitting an inquiry does not create any obligation for Webility to provide services, nor does it create any contractual relationship.

4.3 Service Availability by Region

Webility serves clients internationally. Some services may be subject to geographic limitations based on third-party platform availability, legal requirements, or Agency capacity. We will advise you of any limitations relevant to your engagement during the proposal phase.

4.4 We Reserve the Right to Decline Engagements

Webility reserves the right to decline to provide services to any prospective client at our sole discretion, without obligation to provide a reason.


5. Engaging Our Services

5.1 The Engagement Process

Engaging Webility's services involves the following steps:

  1. Inquiry: Submit a contact form or discovery questionnaire
  2. Discovery: A scoping call and review of your requirements
  3. Proposal: Webility issues a written proposal
  4. Contract: Both Parties sign an MSA and SOW
  5. Deposit: Client pays the non-refundable deposit
  6. Work begins: Project commences after deposit is received

No legal obligation to provide services exists until a fully executed MSA and SOW are in place and the deposit is received.

5.2 Proposals Are Not Binding Offers

Proposals issued by Webility are invitations to contract, not binding offers. Proposals are valid for [30] days from the date of issue and are subject to change or withdrawal at any time before a contract is signed.

5.3 Client Warranties at Engagement

When entering into a service agreement with Webility, the Client warrants that:

(a) It has the legal authority to enter into the agreement on behalf of the organization; (b) It will provide accurate and complete information throughout the engagement; (c) All materials provided to Webility are owned by the Client or the Client has obtained all necessary rights to use them.


6. Acceptable Use of Our Website

6.1 Permitted Use

You may use our Website for lawful purposes only, including to learn about our services, contact us, read our content, and engage our services through the appropriate channels.

6.2 Prohibited Use

You must not use our Website or any content on it to:

(a) Violate any applicable law, regulation, or third-party rights; (b) Transmit unsolicited commercial messages (spam) or other unauthorized communications; (c) Introduce malware, viruses, trojan horses, or other malicious code; (d) Attempt to gain unauthorized access to any part of our Website, servers, or systems; (e) Scrape, crawl, or systematically extract data from our Website without our prior written consent; (f) Interfere with the normal operation of our Website or the experience of other users; (g) Misrepresent your identity or affiliation with any person or organization; (h) Harvest or collect email addresses, contact information, or other data from our Website for commercial purposes; (i) Impersonate Webility, its employees, or any other person; (j) Post or transmit any content that is defamatory, obscene, abusive, threatening, or otherwise objectionable.

Webility grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Website for personal and business information purposes, subject to these Terms. This license does not include:

  • Reproducing or distributing our content commercially
  • Modifying or creating derivative works based on our content

7.3 Case Studies & Portfolio

Work showcased in our portfolio and case studies may include work created for clients. Such work is featured with Client permission or pursuant to our portfolio rights as described in our IP Policy and client contracts. 8. User-Submitted Content

8.1 What You Submit to Us

When you submit information through contact forms, discovery questionnaires, or other website inputs, you grant Webility a limited license to use that information solely for the purpose of responding to your inquiry and evaluating a potential engagement.

8.2 No Confidentiality for General Inquiries

Unless a Non-Disclosure Agreement has been executed between the Parties, information you submit through our website is not treated as confidential. Do not submit genuinely sensitive or proprietary business information through our public contact forms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Webility LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • THAT THE WEBSITE WILL BE AVAILABLE CONTINUOUSLY, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Webility LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THIS WEBSITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
